Agent Office licence

The proprietary software licence that governs every copy of Agent Office. A plain summary is on the legal page; this text is what binds.

This is the LICENSE file shipped with the release, copied without change. File names in it (such as LICENSE-EVALUATION.md and THIRD_PARTY_NOTICES.md) refer to files in the release. The evaluation terms are also on this site: evaluation licence.

1. Ownership

Agent Office, including its source code, object code, installer and provisioning files, templates, company packs, schemas, web assets, documentation, diagrams, the avatar-pack format and the motion authored for it (together, "the Software"), is owned by Agent Office LLC, a Texas limited liability company ("the Licensor"), and is protected by copyright and other intellectual-property laws.

2. No use without a licence

The Software is licensed, not sold. You may not install, run, use, copy, modify, translate, create derivative works of, distribute, sublicense, rent, lease, lend, sell, host for others or otherwise make the Software available unless you hold a valid licence from the Licensor, and then only as that licence permits (for example, the number of installations, the term and the permitted use). A valid licence is either:

(a) a paid licence, bought from the Licensor or from one of its authorised partners; or

(b) a no-charge licence that the Licensor grants in writing, for its term and only as its terms permit: an evaluation licence under LICENSE-EVALUATION.md, or a not-for-resale licence under a written partner agreement with the Licensor.

Having access to this repository, to a copy of the Software or to a running instance of it does not grant a licence. No licence is granted by implication, estoppel or otherwise, except as the Licensor grants in writing.

3. Obtaining a licence

Licences are available from the Licensor at https://agentoffice.work.

4. Restrictions

Except to the extent applicable law expressly permits it despite this restriction, you may not reverse engineer, decompile or disassemble any part of the Software provided only in object form; remove, alter or obscure any copyright, licence or attribution notice; or circumvent any technical measure that controls access to the Software.

5. Third-party components

Parts of the Software, and components it downloads or installs, are owned by third parties and are licensed under their own terms, which are listed in THIRD_PARTY_NOTICES.md and, for an avatar pack, in the LICENSES directory inside that pack. Those terms govern those components. Nothing in this licence restricts any right a third-party licence grants you in its own component.

6. Termination

Any use of the Software without a valid licence, or outside its terms, is unlicensed. A licence you hold terminates automatically if you breach it. On termination you must stop using the Software and destroy every copy in your possession or control.

7. No warranty

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND UNLESS A WRITTEN LICENCE AGREEMENT WITH THE LICENSOR SAYS OTHERWISE, THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND UNLESS A WRITTEN LICENCE AGREEMENT WITH THE LICENSOR SAYS OTHERWISE, THE LICENSOR IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE SOFTWARE, AND THE LICENSOR'S TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID FOR YOUR LICENCE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

9. Governing law

This licence is governed by the laws of the State of Texas, United States of America, without regard to its conflict-of-laws rules. The state and federal courts located in Texas have exclusive jurisdiction over any dispute arising out of or relating to it.

10. Confidentiality

The Software, including its source code and any documentation the Licensor has not published, is the Licensor's confidential information and contains its trade secrets. You will:

  • use it only as your licence permits;
  • share it only with your staff and contractors (including an IT provider acting for you) who need it for that use and who are bound by confidentiality duties at least as strict as these;
  • not publish it, post it or give it to anyone else; and
  • not use it to build, or to train anything that builds, a competing product.

This section does not cover information that is public through no fault of yours, that you already had, that you received lawfully from someone else without a duty of confidence, or that you developed independently. You may disclose what the law requires, after telling the Licensor where the law allows.

These duties last while you hold a licence and for 5 years after it ends, and for source code and other trade secrets for as long as they remain trade secrets.
